1. Introduction and Acceptance

Welcome to AlphaEdge Partners Limited ("AlphaEdge", "we", "our", or "us"). These Terms & Conditions ("Terms") govern your access to and use of our website, investor portal, products, and services (together, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms in full. If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and AlphaEdge Partners Limited. They should be read together with our Privacy Policy, Cookie Policy, AML Policy, and Risk Disclosure Statement, which are incorporated by reference and form part of this agreement.

2. Eligibility

To use our Platform and create an account, you must meet the following eligibility requirements:

• Age — You must be at least 18 years old and legally capable of entering into binding contracts under the laws of your jurisdiction.
• Legal capacity — You must have the legal capacity to enter into this agreement. If you are acting on behalf of a company or other legal entity, you must have the authority to bind that entity.
• Accuracy of information — All information you provide during registration and thereafter must be accurate, complete, and up to date. You are responsible for promptly updating any changes to your information.
• Compliance with law — Your use of the Platform must not violate any law or regulation applicable to you in your country of residence or citizenship. It is your responsibility to ensure that your use of our services is lawful where you are located.
• No prior prohibition — You must not have been previously suspended or banned from using our Platform or similar services.
• No sanctions or watchlists — You must not be listed on any sanctions list or prohibited persons list maintained by the United Nations, UK, US, EU, or any other applicable government authority.

By registering an account, you confirm that all information provided is accurate and complete. We reserve the right to verify your identity and eligibility at any time, including by using third-party identity verification services. Failure to provide satisfactory verification may result in account suspension or termination.

3. User Account

When you create an account with us, you will be required to provide certain information and choose login credentials. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any security tokens. You agree to:

• Keep your login credentials secure — Do not share your password with anyone. We strongly recommend enabling two-factor authentication.
• Notify us immediately of any suspected or actual unauthorised access to your account.
• Accept responsibility for all activity that occurs under your account, whether authorised by you or not.
• Use a strong, unique password — Do not reuse passwords from other sites.
• Log out after each session — Especially when using shared or public devices.

Important: We will never ask you for your password or withdrawal PIN via email, phone, or any other unsolicited communication. Be cautious of phishing attempts. If you are unsure about the legitimacy of a communication, contact us directly using the details provided in Section 18.

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe that your account has been compromised, is being used fraudulently, or is in violation of these Terms.

You may close your account at any time by contacting our support team. Upon closure, we will process any outstanding balances and delete your personal information in accordance with our Privacy Policy, subject to legal retention requirements.

4. Membership Programs

AlphaEdge Partners Limited offers seven membership tiers, each with different investment ranges and benefits. Full details of each tier, including investment ranges and features, are available on our Programs page.

• Bronze — $200 – $500
• Silver — $501 – $1,000
• Gold — $1,001 – $5,000
• Platinum — $5,001 – $10,000
• Diamond — $10,001 – $25,000
• Elite — $25,001 – $50,000
• Chairman's Circle — $50,001 – $100,000

Your membership tier determines:

• Access to specific features and tools on the Platform.
• Priority levels for support, transaction processing, and payouts.
• Eligibility for certain promotions, bonuses, or special opportunities.
• Commission rates in the referral program.

Upgrading: You may upgrade your membership tier at any time by funding your account to meet the minimum investment requirement for the desired tier. Upgrades take effect immediately upon confirmation of the additional funding.

Downgrading: You may request a downgrade to a lower tier by contacting support. If you withdraw funds that reduce your balance below the minimum for your current tier, your tier may be automatically adjusted.

5. Funding Your Account

To participate in our membership programs, you must fund your account. We accept deposits exclusively in USDT (TRC20). Details of our wallet address and funding instructions are available in your member dashboard.

5.1 Funding Process

• Send the desired amount of USDT (TRC20) to our designated wallet address.
• Submit your transaction hash (TXID) through the funding form in your dashboard.
• Our system will verify the transaction on the blockchain.
• Your account will be credited with the confirmed amount.
• You will receive a confirmation notification via email.

5.2 Processing Times

• Transactions are generally confirmed within 1–6 confirmations on the TRC20 network (approximately 5–30 minutes).
• Manual verification may be required for larger amounts or where the transaction is flagged for review.
• During periods of high network congestion, processing times may be extended.

5.3 Minimum and Maximum Funding

• Minimum funding amount: $200 (Bronze tier minimum).
• Maximum funding amount: No maximum, but amounts exceeding $100,000 may be subject to enhanced due diligence.
• We reserve the right to reject or reverse any funding transaction at our discretion, particularly where it violates our AML Policy.

Important: You are responsible for ensuring that the wallet address you send funds to is correct. We are not responsible for funds sent to an incorrect address. Always verify the wallet address before confirming any transaction.

6. Payouts and Withdrawals

You may request payouts of available funds at any time, subject to the conditions set out below. Payouts are processed in USDT (TRC20).

6.1 Minimum Withdrawal Amount

• The minimum withdrawal amount is $100.
• Withdrawals below this amount will not be processed. You may accumulate funds until you reach the minimum.

6.2 Withdrawal Process

• Navigate to the Payout section in your member dashboard.
• Enter the amount you wish to withdraw and your USDT wallet address.
• Confirm your Withdrawal PIN (4–6 digit numeric code).
• Submit your withdrawal request.
• Your request will be reviewed and processed within 24–72 hours after approval.

6.3 Processing Times

• Approval: 24–72 hours (may be longer during periods of high volume).
• Blockchain confirmation: 1–6 confirmations on TRC20 network.
• You will receive a notification when your payout has been processed.

6.4 Withdrawal Holds and Delays

• We may hold or delay withdrawals if:
• Your account is under investigation for suspicious activity.
• Your KYC documentation is incomplete or under review.
• We suspect unauthorised access to your account.
• We are required to do so by law or regulation.
• You have recently changed your security settings.
• You will be notified of any holds and the reason for the delay.

Important: You are responsible for ensuring that your wallet address is correct. We are not responsible for funds sent to an incorrect address due to user error.

7. Referral Program

Our referral program allows you to earn commissions by inviting others to join AlphaEdge Partners Limited. Full details are available on our Referral page.

7.1 Commission Structure

• Level 1 (Direct Referrals) — 3.0% of the referral's investment.
• Level 2 — 2.0% of the Level 1's investment.
• Level 3 — 1.5% of the Level 2's investment.
• Level 4 — 1.0% of the Level 3's investment.
• Total possible commission: 7.5% across four levels.

7.2 Eligibility

• All membership tiers qualify for the full referral structure.
• You must have an active account and be in good standing to receive commissions.
• You may refer an unlimited number of individuals.

7.3 Commission Payment

• Commissions are credited instantly when a referred user activates a membership.
• Commissions are added to your available balance and may be withdrawn in accordance with Section 6.
• Commissions are calculated on the referred user's initial membership investment only.

7.4 Prohibited Conduct

• Self-referrals (referring your own accounts) are strictly prohibited.
• Spamming or unsolicited mass marketing of your referral link is prohibited.
• Misrepresentation of our services or guaranteed returns is prohibited.
• Creating fake accounts to generate commissions is prohibited.

Violation of these rules may result in forfeiture of commissions, account suspension, or account termination. We reserve the right to investigate suspicious referral activity and take appropriate action.

8. KYC and AML Compliance

AlphaEdge Partners Limited operates in full compliance with anti-money laundering (AML) and counter-terrorism financing (CTF) regulations. All users must complete Know-Your-Customer (KYC) verification before certain account features are unlocked.

8.1 KYC Requirements

• Valid Government ID — Passport, National ID, or Driver's Licence (front and back).
• Proof of Address — Utility bill, bank statement, or government-issued document dated within the last 3 months.
• Selfie Verification — A live selfie with your ID for verification.
• Source of Funds — Information about the origin of your funds.
• Additional Documentation — Where required for enhanced due diligence.

8.2 KYC Status

• Your KYC status is displayed in your member dashboard.
• Funding may be limited until KYC is complete.
• Withdrawals may not be processed until KYC is complete.

8.3 AML Obligations

• We reserve the right to delay, suspend, or reject transactions that we reasonably believe violate AML regulations.
• We are required to report suspicious activity to relevant authorities.
• We may freeze accounts and assets where required by law.

9. Prohibited Activities

You agree not to engage in any of the following prohibited activities when using our Platform:

• Fraud and Misrepresentation — Using false information, impersonating others, or misrepresenting your identity or financial status.
• Illegal Activities — Using the Platform for any illegal purpose, including money laundering, terrorist financing, tax evasion, or fraud.
• Unauthorised Access — Attempting to access another user's account, compromise security measures, or bypass authentication.
• Interference — Attempting to disrupt, damage, or interfere with our Platform or its operation.
• Abuse — Harassing, threatening, or abusing other users or our staff.
• Spam — Sending unsolicited promotional messages using our referral system.
• Exploitation — Exploiting bugs, vulnerabilities, or errors in our Platform to gain unfair advantage.
• Automated Access — Using bots, scrapers, or other automated tools to access our Platform without our explicit permission.

Violation of these prohibitions may result in immediate account suspension, forfeiture of funds, and legal action. We reserve the right to report prohibited activities to the relevant authorities.

10. Intellectual Property

All content on our Platform, including but not limited to text, graphics, logos, icons, images, software, source code, and documentation, is the property of AlphaEdge Partners Limited or our licensors and is protected by copyright, trademark, patent, and other intellectual property laws.

10.1 Permitted Use

• You may access and use the Platform for your personal, non-commercial use in accordance with these Terms.
• You may share your referral link as permitted by the referral program.

10.2 Prohibited Use

• Copying, reproducing, or distributing any content from our Platform without our prior written consent.
• Modifying, adapting, or creating derivative works based on our Platform.
• Using our trademarks or branding without our prior written consent.
• Reverse engineering or decompiling any part of our Platform.

All rights not expressly granted are reserved. Unauthorised use of our intellectual property may result in legal action.

11. Limitation of Liability

To the fullest extent permitted by law, AlphaEdge Partners Limited, its directors, officers, employees, agents, and affiliates shall not be liable for any:

• Direct, indirect, incidental, special, consequential, or punitive damages — Including loss of profits, revenue, data, or goodwill.
• Losses arising from your use of or inability to use the Platform — Whether based on contract, tort, negligence, strict liability, or otherwise.
• Losses arising from unauthorised access to your account — Unless caused by our gross negligence.
• Losses arising from third-party services or content — Including market data, analytics, or third-party widgets.
• Losses arising from investment decisions — Including loss of capital, market fluctuations, or reduced returns.

Our total liability to you for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the total amount of fees paid by you to us in the 12 months preceding the claim.

Nothing in this section limits our liability for:

• Death or personal injury caused by our negligence.
• Fraud or fraudulent misrepresentation.
• Any other liability that cannot be excluded or limited under applicable law.

12. Disclaimer of Warranties

Your use of our Platform is at your own risk. Our Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied.

12.1 We Disclaim All Warranties, Including:

• Merchantability — That the Platform will meet your requirements or expectations.
• Fitness for a particular purpose — That the Platform will achieve any specific result or outcome.
• Non-infringement — That the Platform will not infringe the rights of any third party.
• Accuracy and reliability — That the Platform will be error-free, secure, or uninterrupted.
• Performance — That any investment will yield positive returns or preserve capital.

We do not provide financial advice. The information on our Platform is for informational purposes only and should not be considered as investment advice. You should consult a qualified financial adviser before making any investment decisions.

13. Indemnity

You agree to indemnify, defend, and hold harmless AlphaEdge Partners Limited, our directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Platform in violation of these Terms.
• Your violation of any law, regulation, or third-party right.
• Any activity under your account, whether authorised by you or not.
• Your misrepresentation or fraudulent conduct.
• Your infringement of our intellectual property rights or those of third parties.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, you will have access to withdraw any available funds, subject to our payout policies. Your personal information will be deleted in accordance with our Privacy Policy, subject to legal retention requirements.

14.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

• You breach any provision of these Terms.
• We suspect fraudulent, illegal, or unauthorised activity.
• You fail to complete KYC verification within the required timeframe.
• We are required to do so by law or regulation.
• Your account is inactive for an extended period (12+ months).

Upon termination, you will be notified and given the opportunity to withdraw any available funds, subject to our payout policies. We may forfeit funds that are the subject of an active investigation.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay arises from events outside our reasonable control, including but not limited to:

• Natural disasters (earthquakes, floods, hurricanes, etc.).
• Wars, riots, civil unrest, or terrorism.
• Pandemics or public health emergencies.
• Government actions, regulations, or embargoes.
• Internet or telecommunications failures.
• Cyberattacks, hacks, or security breaches.
• Blockchain network disruptions or forks.

In the event of a force majeure event, we will make reasonable efforts to resume operations as soon as possible and will keep you informed of developments.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Alternative Dispute Resolution: Before resorting to litigation, we encourage you to contact us to attempt to resolve any dispute informally. We will make reasonable efforts to address your concerns in good faith.

17. Changes to These Terms

We may update these Terms periodically to reflect changes in our services, legal requirements, or operational practices. When we make changes, we will:

• Update the "Effective Date" at the top of these Terms.
• Post the updated Terms on this page.
• Provide notification of significant changes through the Platform or via email.

We encourage you to review these Terms periodically. Continued use of our services after an update constitutes acceptance of the revised Terms.
